5. Intellectual Property

5.1 Deliverables: Unless otherwise specified in the contract, all deliverables and work products created for clients become the property of the client upon full payment.

5.2 Pre-existing Materials: PREC Ltd retains ownership of all pre-existing methodologies, tools, and frameworks used in service delivery.

5.3 Website Content: All content on this website, including text, graphics, logos, and images, is the property of PREC Ltd and protected by copyright laws.

6. Payment Terms

Payment terms are specified in individual service contracts. Generally:

• Advance payments may be required before commencement of work
• Progress payments are tied to milestone deliverables
• Final payment is due upon project completion and acceptance
• Late payments may incur interest charges as specified in the contract

7. Limitation of Liability

To the maximum extent permitted by law, PREC Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services.

Our total liability for any claims arising from our services shall not exceed the total fees paid by the client for the specific engagement.

8. Termination

Either party may terminate a service contract in accordance with the termination provisions specified in the contract.

Upon termination, the client shall pay for all services rendered up to the termination date.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.
